END USER LICENSE AGREEMENT PLEASE READ CAREFULLY BEFORE COMPLETING THE QUESTIONNAIRES. This End User License Agreement ('EULA') is a legal agreement between a) you (either an individual or registered company) and b) Calibre-Elite Ltd ('CE') that governs your use of any CE Product Questionnaires, Measurement Reports or Training Materials hereinafter referred to as a ('CE Product'). RIGHTS TO USE THIS CE PRODUCT ARE OFFERED ONLY ON THE CONDITION THAT YOU AGREE TO ALL THE TERMS AND CONDITIONS OF THIS EULA. BY DOWNLOADING ANY PRODUCT QUESTIONNAIRES YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. GRANT OF LICENSE: CE grants you the rights to use the Product Questionnaires for your own use or those of your team or organisation that you are duly authorised to represent for the sole purpose of producing performance reports as described by CE. RESTRICTIONS: You may not transfer, rent, lease or lend any part of a CE Product to any third party. PROPRIETARY RIGHTS: All intellectual property rights in the CE Product and user documentation are owned by CE or its suppliers and are protected by law, including but not limited to copyright, trade secret and trademark law, as well as other applicable laws and international treaty provisions. TERM: This EULA is effective unless terminated or rejected by CE. CAPACITY AND AUTHORITY TO CONTRACT: You represent that you are of the legal age of majority and, if applicable, you are duly authorised by your employer to enter into this contract. APPLICABLE LAW: This EULA is governed by the laws of the United Kingdom. ENTIRE AGREEMENT: This EULA is the entire agreement between you and CE relating to CE Products unless superseded by a written contract.
